IN NO EVENT SHALL STATICBLOCK'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to defend, indemnify, and hold harmless StaticBlock and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

12. Copyright and DMCA

12.1 Copyright Policy

  • A statement under penalty of perjury that removal was a mistake
  • Your name, address, and consent to jurisdiction
  • Your physical or electronic signature

13. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Site will immediately cease. All provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State where StaticBlock operates, without regard to conflict of law provisions.

You agree to submit to the personal and exclusive jurisdiction of the courts located within the United States for resolution of any disputes.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at hello@staticblock.tech and attempt to resolve the issue informally for at least 30 days.

15.2 Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration shall be conducted on an individual basis, not as a class action.

15.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

16. Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StaticBlock regarding use of the Site and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

19. Force Majeure

StaticBlock shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

20. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.
